In 2020, Alabama passed legislation enabling the formation of benefit corporations, a legal form that allows for-profit businesses to institutionalize public benefits in their organizing documents and governance. The law went into effect January 2021 and has been warmly received by businesses, nonprofits, and investors alike. But what is a benefit corporation? What are the benefits and potential drawbacks of organizing in this legal form? What types of entities should consider organizing as benefit corporations?
