This presentation will touch on a wide range of contractual provisions that attorneys serving as corporate counsel frequently encounter, including the issue of who decides the validity and scope of arbitration provisions and how to determine whether an issue falls within its scope. Additionally, we will discuss the reach of jury waivers across a client's different agreements, the importance of wording when it comes to recovering attorney's fees, the impact of tolling agreements on the statute of limitations, and the role that merger clauses play in determining the finality of an agreement. Finally, the presentation will provide an overview of the Alabama Non-Disparagement Obligations Act and will delve into the ways in which those obligations can arise.
